Terms and Conditions
1. Seller and scope
These Terms and Conditions apply to orders placed at sponceram.com. The seller and contractual partner is Zellwerk GmbH, Ziegeleistraße 7, 16727 Oberkrämer OT Eichstädt, Germany, telephone +49 3304 38268-0, email shopify@sponceram.com. Sponceram is the name of the product and online store. Shopify provides the technical store platform; purchase contracts are concluded with Zellwerk GmbH.
These terms apply to consumers and business customers. A consumer is a natural person acting for purposes predominantly outside their trade, business or independent profession. A business customer acts in the course of its trade, business or independent profession.
2. Orders and contract formation
Product listings are invitations to place an order and are not binding offers. By clicking the order button at checkout, you make a binding offer to buy the selected goods. Before submitting the order, you can review and correct your entries using the checkout controls.
The automatic order confirmation sent by Shopify on our behalf is our acceptance of your offer. The purchase contract with Zellwerk GmbH is formed when you receive that confirmation.
3. Prices, shipping charges and payment
The prices displayed in the store include applicable VAT. Any shipping charges and the total payable amount are displayed before you submit the order. The price and charges shown for your order at checkout apply.
Available payment methods are shown at checkout and may include PayPal and methods provided through Shopify Payments. The conditions displayed for the selected payment method apply.
Invoices are issued electronically. On the day of dispatch, you will receive a link to download your invoice (PDF) in the shipping confirmation email. By placing an order, you agree to receive invoices electronically in this form. Business customers who require a structured electronic invoice (e.g. XRechnung or ZUGFeRD) can contact us at shopify@sponceram.com before dispatch.
4. Delivery
We deliver within Germany only. Delivery takes place within 21 calendar days after we receive your order. Further details appear in our Shipping Policy.
For consumer purchases, the risk of accidental loss of or damage to the goods generally passes to the consumer when the goods are delivered to the consumer or a person designated by the consumer. Statutory exceptions remain unaffected.
5. Retention of title
The goods remain the property of Zellwerk GmbH until the purchase price has been paid in full.
6. Consumer right of withdrawal
Consumers generally have a statutory right to withdraw from an online purchase. Our separate Return & Refund Policy / Right of Withdrawal explains the procedure and includes a model withdrawal form. Business customers do not have a statutory consumer right of withdrawal.
7. Defects and guarantees
Statutory rights in relation to defective goods apply. An additional commercial guarantee applies only if we expressly offer it for a particular product and provide its terms. An additional guarantee does not restrict statutory rights.
8. Liability
We are liable in accordance with applicable law. Nothing in these terms limits liability for injury to life, body or health, intentional or grossly negligent conduct, or any other liability that cannot be limited by law.
9. Consumer dispute resolution
Zellwerk GmbH is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
